Compliance surfaces at the worst moments — bank KYC, tenders, due diligence. Find the gaps before they do.
Corporate compliance health check

Know what your company is missing — before a bank does.

Outstanding annual returns you forgot, an “Inactive” status you never noticed, an NDPR registration nobody assigned to anyone — corporate compliance gaps stay invisible until the exact moment they cost you: a KYC review, a tender, a loan, an investor’s due diligence. One health check maps all nine areas, red-amber-green, with a sequenced remediation quote attached.

Sequence note Filing the outstanding returns is what clears the “Inactive” flag — one remediation fixes two reds.
Part A When gaps surface

Nobody checks compliance on a quiet Tuesday. It checks you.

Filing errors and lapses compound quietly — penalties accrue, statuses flip to inactive — and then surface all at once, at moments chosen by someone else.

Bank KYC & account reviews

An inactive CAC status or stale filings can freeze onboarding — or an existing account.

Tenders & procurement

Bids demand current TCC, returns and registrations — due the week the tender closes.

Loans & facilities

Credit committees read compliance gaps as management gaps. Pricing follows.

Investor due diligence

Every missing filing becomes a disclosure item, a warranty, or a price conversation.

Penalties that compound

Late-filing penalties grow per year outstanding — the cheapest year to fix them is always this one.

Part B The nine areas

One review. Everything a counterparty could ask about.

Each area checked against the relevant register or requirement, graded red, amber or green, with the consequence and the fix noted per flag.

CC-01

Outstanding CAC annual returns

Which years are filed, which are outstanding, and what the accumulated late penalties actually total.

CC-02

Company status

Whether the register shows you Active or Inactive — the single flag banks check first, driven by the returns above.

CC-03

TIN & tax-registration gaps

Tax identification and registrations confirmed across federal and state — the gaps that stall everything tax-adjacent.

CC-04

Tax-clearance readiness

Whether you could obtain a current TCC if a tender asked tomorrow — and what stands in the way if not.

CC-05

SCUML requirements

Whether your sector requires SCUML registration, and whether yours exists and is current — banks increasingly ask.

CC-06

Data-protection registration

NDPR/NDPC obligations for your data footprint — the newest requirement, and the one most companies haven’t assigned to anyone.

CC-07

Sector licences

NAFDAC, financial, telecoms, or other sector-specific licences — present, current, and matching what you actually do.

CC-08

State business-premises permits

Premises permits for each state you operate in — the local requirement multi-state businesses most often miss.

CC-09

Employee & fleet document expiries

Staff licences and vehicle papers swept for expiries via the consent-based boards — the human and fleet side of compliance.

Part C What you receive

A report your bank could read — and a quote your board can approve.

Not a lecture. A map: what’s green, what’s amber, what’s red, why each flag matters commercially, and exactly what fixing it costs — sequenced, because some fixes unlock others.

The remediation

Fix some, or fix all

Itemised per fix · official fees & penalties at government rates
  • Every fix quoted separately — take the reds now, ambers next quarter
  • Filings prepared, submitted and tracked by one caseworker
  • Official penalties itemised transparently — no one legitimate can waive them, including us
  • Finished documents into your company vault, with next-cycle reminders set free

Part E Common questions

Asked by every MD who “thinks we’re mostly fine.”

How is this different from what my accountant or company secretary does?
It complements them. Accountants own your numbers and cosecs own your filings calendar — but gaps live between mandates: the NDPR registration nobody was assigned, the premises permit in the second state, the SCUML question the bank raised last week. The health check sweeps everything in one pass and produces a report designed to be handed to your accountant, lawyer or cosec — several of our clients’ checks are commissioned by those professionals themselves.
What do you need from us to run it?
Surprisingly little to start: your RC number and written authorisation. The free scan works from register information; the full check adds a short questionnaire and whatever filings you can share — and where documents are missing, that’s a finding, not a blocker. Nobody needs to spend a week assembling a data room first; discovering what you can’t find is half the point.
If you find problems, does anyone else find out?
No. The check is confidential, NDPR-handled, and we work for you alone — we’re not an enforcement arm and we don’t report findings to any authority. The report exists to let you fix things quietly and on your own schedule, which is precisely the opportunity that disappears once a bank or regulator finds the gap first.
We’re probably badly non-compliant. Be honest — what happens?
Then you’re our most common client, and the news is usually better than feared: most gaps are administrative, most penalties are calculable, and the sequenced quote often shows one or two filings clearing several flags at once — outstanding returns driving an inactive status being the classic case. What the report never does is moralise. It prices the way back, and every year you wait is the only thing that makes that price grow.
Can you reduce or waive the accumulated penalties?
No — official penalties are set by the authorities at published rates, and we itemise them transparently at exactly those rates. Be careful with anyone who claims they can “settle” penalties for less through a connection: you’ll have no receipt, no record, and often the liability quietly remains. What genuinely reduces the total is fixing the gaps sooner and keeping the reminders on after.
How long does the full check take?
Typically within a week for the report, depending on how quickly register confirmations return — and the free scan is near-immediate. If you’re running against a live deadline like a tender or a facility approval, tell us the date: we prioritise checks with a moment attached, and the report flags which reds can realistically be cleared before it.
